Terms & Conditions

1. Acceptance of Terms

By accessing or using AiSynk services, websites, or integrations (collectively, the "Services"), you agree to be bound by these Terms & Conditions (the "Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Customer Agreement

Use of the Services may be subject to a separate written agreement (e.g., Order Form, MSA, BAA, DPA). If there is a conflict, the signed agreement controls to the extent of the conflict.

3. Access and Use

• You will comply with all applicable laws, including HIPAA, GDPR, and sector-specific regulations.
• You are responsible for configuration, credentials, and activity conducted under your accounts.
• Prohibited uses include: reverse engineering, unauthorized access, interfering with security or network operations, and misuse of APIs.
• We may modify or discontinue features with notice where practicable; material changes will be communicated.

4. Data Protection

We process personal information as described in our Privacy Policy and, where applicable, under a Data Processing Agreement. For healthcare data, we operate as a Business Associate under a BAA. You are responsible for providing any legally required notices and obtaining consents from data subjects.

5. Intellectual Property

AiSynk and its licensors retain all rights, title, and interest in and to the Services, including software, documentation, and trademarks. No rights are granted except as expressly stated in these Terms or an applicable written agreement.

6. Confidentiality

Each party may disclose confidential information to the other. The receiving party will protect the disclosing party's confidential information using at least industry-standard measures and will use it solely to fulfill obligations under these Terms or an applicable agreement.

7. Warranties and Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AiSynk does not warrant that the Services will be uninterrupted or error-free.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. EXCEPT FOR PAYMENT OBLIGATIONS OR A PARTY'S INFRINGEMENT, EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER FOR THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

Each party will defend and indemnify the other against third-party claims arising from: (a) breach of these Terms, (b) violation of law, or (c) infringement or misappropriation of intellectual property, subject to customary exclusions and conditions in the applicable agreement.

10. Suspension and Termination

We may suspend or terminate access for material breaches, security risks, or non-payment. Upon termination, you must cease use and remove any AiSynk confidential information; sections intended to survive will survive termination.

11. Compliance and Export

You will comply with applicable export control and sanctions laws. You represent you are not located in, under the control of, or a national or resident of any restricted jurisdiction or on any restricted party list.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflicts of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in San Francisco County, California.

13. Changes to Terms

We may update these Terms from time to time. Updates will be posted with a new effective date. If changes are material, we will provide additional notice. Continued use after the effective date constitutes acceptance.
